These Terms of Service (the "Terms") govern your access to and use of the TheraNotes mobile application and related services (the "Service"). By accessing or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.

Eligibility (18+)
The Service is intended for adults. You must be 18 years or older to use the Service. By using the Service, you represent that you are at least 18.
Accounts and Security
- Account creation: You may need an account to use certain features.
- Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Accuracy: You agree to provide accurate information and keep it updated.
Your Content and Permissions
The Service may allow you to create, upload, or store content, including audio recordings, uploaded audio files, titles, tags, notes, transcripts, summaries, and messages ("User Content").
You Retain Ownership
You retain any rights you have in your User Content.
License to Operate the Service
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and process your User Content solely to provide and improve the Service (for example, to upload audio, generate transcripts and insights, and display your content back to you).
You Are Responsible for What You Upload/Record
You represent and warrant that:
- You have all rights and permissions needed to provide User Content to the Service, including permission to record or upload audio containing other people's voices where required by law; and
- Your User Content and your use of the Service comply with applicable laws and these Terms.
AI Features and Important Disclaimers
The Service may provide AI-powered features (for example, transcription, summarization, insights, and an AI chat companion). These features may be generated automatically based on your User Content and may be inaccurate or incomplete.
Not Medical Advice; Emergencies
The Service is for informational and organizational purposes only and does not provide medical, therapeutic, or other professional advice.
Do not use the Service for emergencies. If you are in immediate danger or need urgent help, contact your local emergency number.
No Substitute for Professional Care
You are responsible for how you use AI outputs. You should not rely on outputs as a substitute for advice from qualified professionals.
Subscriptions and Billing
Some features may require a paid subscription ("Subscription").
- In-app purchases only: Subscriptions are sold and billed through the Apple App Store and/or Google Play (as applicable).
- Auto-renewal: Subscriptions may renew automatically unless canceled through your store account settings before the renewal date.
- Cancellation: You can manage or cancel your Subscription through your App Store / Google Play account settings. Deleting the app does not automatically cancel your Subscription.
- Pricing and taxes: Pricing, billing cadence, and any applicable taxes are presented at the time of purchase in the relevant store.
- Refunds: Refund requests are handled by Apple or Google under their policies, not by TheraNotes.
Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or abusive purposes;
- Upload content that infringes others' rights (including privacy, publicity, or intellectual property rights);
- Attempt to reverse engineer, scrape, probe, or disrupt the Service or its security;
- Access the Service using automated means except as permitted by us in writing; or
- Interfere with other users' enjoyment of the Service.
Third-Party Services
The Service relies on third-party services (for example, authentication, hosting, analytics, and AI providers). Your use of the Service may be subject to those third parties' terms in addition to these Terms.
Privacy
Our collection and use of personal information is described in our Privacy Policy.
Termination and Suspension
By You
You may stop using the Service at any time. You may also sign out. If you have an active Subscription, you must cancel it through your App Store / Google Play settings.
By Us
We may suspend or terminate your access to the Service if:
- You violate these Terms;
- Your use creates risk or legal exposure for us or others; or
- We are required to do so for legal, security, or operational reasons.
We may also discontinue the Service or any part of it at any time, subject to applicable law.
Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
Limitation of Liability
To the maximum extent permitted by law:
- TheraNotes will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.
- TheraNotes' total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to TheraNotes for the Service in the 12 months before the event giving rise to the claim (or, if you paid nothing, a nominal amount).
Nothing in these Terms limits liability that cannot be excluded under applicable law.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Aku Online Ltd. from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content or your violation of these Terms.
Governing Law and Disputes
This section differs depending on whether you are a US user.
For Users Outside the United States (UK, Canada, and Other Regions)
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. Subject to any mandatory consumer protections that apply, the courts of England and Wales (sitting in London) will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
For Users in the United States (AAA Arbitration; Class Action Waiver)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal Resolution First
Before filing a claim, you agree to try to resolve disputes informally by contacting us at contact@trytheranotes.com and providing a brief description of the issue. We will try to resolve disputes informally within a reasonable time.
Binding Arbitration
Except for claims that may be brought in small claims court (if eligible) or requests for injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
Arbitration may be conducted remotely/online where allowed by the rules and law.
Class Action Waiver
To the fullest extent permitted by law, you agree that disputes will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.
Opt-Out
You may opt out of this arbitration/class action waiver section by emailing contact@trytheranotes.com within 30 days of first accepting these Terms, stating your name, the email associated with your account, and that you wish to opt out of arbitration. Opting out will not affect the rest of these Terms.
Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
